Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Dyvice IoT analytics platform, its websites, APIs, and related services (collectively the "Service"), operated by Dyvice ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.
1. Eligibility and Accounts
You must be at least 13 years old (16 in the EEA/UK) to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly at designtech2406@gmail.com if you suspect unauthorised access.
2. Acceptable Use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right.
- Upload, ingest, or transmit malicious code, illegal content, or any data you do not have the right to publish.
- Attempt to reverse engineer, decompile, or extract source code from the Service, except to the extent expressly permitted by law.
- Interfere with, disrupt, or impose unreasonable load on the Service, circumvent rate limits, or probe for vulnerabilities without our written permission.
- Resell, sublicense, or white-label the Service without a separate written agreement with us.
- Use the Service to send unsolicited messages, spam, or to harvest personal data without consent.
3. Your Content
"Your Content" means data and materials you submit to the Service — including sensor data, channel definitions, dashboards, rules, and any text or files you upload. You retain all rights in Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process, and display Your Content solely to operate and improve the Service for you.
You are responsible for the legality of Your Content and for obtaining any consents required (for example, from end-users whose data is captured by devices you operate).
4. Third-Party Integrations
The Service connects to third-party services (Slack, Microsoft Teams, Telegram, Zapier, Google Sheets, Airtable, Home Assistant, webhook endpoints, and others). When you enable an integration, you authorise Dyvice to send and receive data on your behalf. Your use of third-party services is also governed by those services' own terms and privacy policies; we are not responsible for their availability or actions.
5. Plans, Trials, and Payment
- The Service is offered on free and paid plans. Paid plans renew automatically until cancelled.
- Free trials, if offered, convert to a paid subscription at the end of the trial unless you cancel before the trial ends.
- Fees are billed in advance and are non-refundable except where required by law or expressly stated.
- All fees are exclusive of applicable taxes (e.g. GST), which we will add at the rates required by law.
- We may change pricing with at least 30 days' notice; changes take effect at your next renewal.
- Failure to pay may result in suspension or termination of paid features.
6. Service Availability
We aim to keep the Service available 24/7 but do not guarantee uninterrupted operation. We may perform maintenance, deploy updates, or change features at any time. We will provide reasonable advance notice of material changes that adversely affect production use.
7. Data Limits and Retention
Each plan includes data-ingestion, channel, device, and retention limits described on our pricing page. Data older than the retention window for your plan may be deleted automatically. You are responsible for exporting data you wish to keep beyond the retention window.
8. Suspension and Termination
You may cancel your account at any time from Account Settings. We may suspend or terminate your account if you breach these Terms, fail to pay fees, use the Service in a way that endangers it or other users, or as required by law. Upon termination, your access ceases and we may delete Your Content after a reasonable grace period (see our Privacy Policy for retention details).
9. Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by Dyvice or its licensors and is protected by intellectual property laws. Except for the licence we grant you to use the Service, no rights are transferred. You may not use our trademarks without prior written permission.
If you submit feedback or suggestions about the Service, you grant us a perpetual, royalty-free licence to use them without restriction or obligation to you.
10. Privacy
Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS.
The Service is not designed for use in safety-critical or life-critical systems (medical devices, nuclear facilities, aviation, mass transit, weapons systems, etc.) and you must not use it in such contexts.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYVICE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) INR 5,000.
13. Indemnification
You will defend, indemnify, and hold harmless Dyvice and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third-party right.
14. Changes to the Terms
We may modify these Terms from time to time. Material changes will be announced via email or an in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
15. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. The courts located in Chennai, Tamil Nadu will have exclusive jurisdiction over any dispute arising from these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
16. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any order forms, are the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control (natural disasters, outages of upstream providers, government action, etc.).
